By creating an account or using any part of the Yi Yan English / SpeakUp platform (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
These Terms constitute a legally binding agreement between you and Myelin Cloud (Shenzhen) Technology Co., Ltd. ("Company", "we", "us"), a company registered in the People's Republic of China.
The Platform is intended exclusively for users who are 18 years of age or older. By registering, you confirm that you are at least 18 years old. We do not knowingly collect information from or provide services to persons under 18. If we discover that a user is under 18, we will immediately terminate their account.
You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at legal@yiyanenglish.com if you suspect unauthorized access.
One person may not maintain more than one active account. Accounts are non-transferable.
Yi Yan English provides:
We are a technology platform, not an educational institution. We do not issue academic certificates or diplomas.
Certain features require a paid subscription. Subscriptions are billed in advance on a monthly or annual basis and automatically renew until cancelled.
Payment methods accepted: WeChat Pay (微信支付), Alipay (支付宝), and international bank cards via Stripe.
Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No partial-period refunds are issued unless stated in our Refund Policy.
Price changes: We will give at least 30 days' notice before changing subscription prices. Continued use after the notice period constitutes acceptance of the new price.
Taxes: Prices displayed are inclusive of applicable Chinese VAT.
Teachers are independent contractors, not employees of Yi Yan English. We do not guarantee the quality, safety, or legality of any teacher's services.
Platform service fee: The Company charges a service fee on each completed session. This fee is disclosed at the time of booking.
Bookings: Once a session is confirmed, both student and teacher are expected to attend. Cancellation and rescheduling policies are set out in our Refund Policy.
Reviews: You may leave honest reviews of teacher sessions. Fraudulent, defamatory, or incentivized reviews are prohibited and will be removed.
Our AI practice features are powered by third-party artificial intelligence technology. AI-generated content:

You agree not to:
Violations may result in immediate account termination and, where applicable, legal action.
All Platform content — including software, design, curriculum, and AI systems — is owned by Myelin Cloud (Shenzhen) Technology Co., Ltd. and protected by Chinese and international intellectual property law.
You retain ownership of content you create (journal entries, recordings). By submitting content to the Platform, you grant us a non-exclusive, royalty-free licence to use it to operate and improve our services.
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms. We comply with the Personal Information Protection Law of the People's Republic of China (PIPL).
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
We may suspend or terminate your account at any time if you breach these Terms, or for any other reason at our discretion, with or without notice. You may delete your account at any time from settings. Upon termination, your right to use the Platform ceases immediately.
These Terms are governed by the laws of the People's Republic of China. Any disputes shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent people's court in the jurisdiction of our registered address.
